Expert Agreement

THIS AGREEMENT GOVERNS YOUR PARTICIPATION AS AN EXPERT ON THE RAAHI PLATFORM. THIS AGREEMENT ALSO CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

1. Introduction and Acceptance.

This Expert Agreement ("Agreement") is entered into between you ("Expert," "you") and Raahi Ventures, Inc., doing business as Raahi ("Raahi," "we," "us"). This Agreement governs your participation on the Raahi platform, website, and mobile applications (the "Platform") as an Expert. By applying to become an Expert, completing onboarding, or accepting any Booking, you agree to be bound by this Agreement. If you do not agree, you may not participate as an Expert on the Platform.

2. Relationship to the Terms and Conditions.

As a user of the Platform, you are also bound by the Raahi Terms and Conditions ("Terms"), which govern the Platform generally and apply to all users, including Experts. This Agreement supplements the Terms and addresses matters specific to the Expert relationship. In the event of a conflict between this Agreement and the Terms on a matter specific to Experts, this Agreement controls; on all other matters, the Terms control. Capitalized terms not defined in this Agreement have the meanings given in the Terms, including "Buyer," "Booking," and "Platform."

3. Appointment and Nature of Engagement.

Raahi appoints you, and you accept appointment, as an independent Expert authorized to list and provide experiences through the Platform, subject to your successful completion of onboarding and Raahi's ongoing verification and listing standards. This appointment is non-exclusive. Nothing in this Agreement obligates Raahi to provide you with any minimum volume of Bookings, and nothing obligates you to accept any minimum volume of Bookings, except as expressly stated in this Agreement.

4. Independent Contractor Relationship.

You are an independent contractor, not an employee, agent, representative, franchisee, partner, or joint venturer of Raahi. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between you and Raahi. You are solely responsible for determining the manner and means by which you provide your services, including your equipment, routes, techniques, and schedule, subject to the safety and listing standards described in this Agreement. Raahi does not supervise or control your day-to-day performance, and its exercise of administrative or payment discretion under this Agreement, including its authority over listings, payouts, and account suspension, is exercised solely for marketplace integrity, fraud prevention, safety, and dispute-resolution purposes, and does not constitute, and should not be construed as, operational control over how you deliver your services. You are not entitled to any employee benefits, and Raahi will not withhold income tax, social security, or other payroll obligations from any amount paid to you.

5. Eligibility and Representations.

You represent and warrant that you are at least eighteen (18) years old, have the legal capacity to enter into this Agreement, and are lawfully permitted to provide the services you offer in each location where you operate. You represent that all information you provide during onboarding and thereafter is accurate, current, and not misleading, and that you will promptly update any information that changes.

6. Onboarding and Verification.

You must complete Raahi's onboarding process before providing any service through the Platform, including submitting the documents applicable to your service category as described in Category-Specific Requirements. The required documents may include government ID, selfie/liveness verification, profile photo, address, spoken languages, vehicle information, licenses, availability, service regions, tax information and/or payment information. Raahi will review submitted documents and typically completes initial verification within twenty-four (24) hours, though this timeframe is not guaranteed. Raahi may conduct identity verification, background checks, and sanctions screening as described in Compliance with Applicable Laws. Raahi may use independent third-party verification providers to conduct such verification and related compliance checks. Providing falsified onboarding documents results in immediate termination of your account and forfeiture of any pending payout, and may be referred to law enforcement where appropriate. You must protect your account credentials, must not allow another person to use your account to accept or deliver a Booking, and must not impersonate another person, consistent with the Expert Code of Conduct.

7. Category-Specific Requirements.

In addition to the general requirements in Onboarding and Verification, you must meet the following requirements applicable to your service category, and must promptly notify Raahi if you no longer meet them:

7.1. Vehicle Owners and Drivers.

A valid driver's license; current vehicle registration and roadworthy certificate; insurance including passenger liability coverage meeting the minimums in the Insurance clause; and a basic safety kit (first aid kit, fire extinguisher, and comparable equipment appropriate to your vehicle type).

7.2. Tour Guides, Bird Experts, and Naturalists.

A government-issued or association-issued guiding license where applicable in your jurisdiction; local tourism board registration where required; and demonstrated working knowledge of the trails, flora, fauna, or cultural sites relevant to your listed experiences.

7.3. Chauffeurs and Hired Drivers.

A valid driver's license; work eligibility or chauffeur license where required by local law; and experience providing transportation services to guests or in a tourism context.

7.4. Horseback, Camel, and Animal Ride Operators.

Any animal care permit applicable in your jurisdiction; proof of training or local certification where available; and equipment and animals maintained in clean, safe, working condition.

7.5. All Experts.

A smartphone with data and network connectivity capable of running the Platform application; a current profile photograph and accurate profile information sufficient for verification; and the ability to communicate with Buyers in a professional and guest-focused manner.

8. Expert Code of Conduct.

You must comply with the Expert Code of Conduct made available to you through the Platform, which addresses respect for nature and wildlife, guest safety protocols, and operating within legal and ethical boundaries. The Expert Code of Conduct is incorporated into this Agreement by reference. Raahi may update the Expert Code of Conduct from time to time, with notice provided consistent with the Notices and Changes to This Agreement section.

9. Listing Standards.

Your listings must accurately describe the experience offered, including capacity, safety equipment, required licensing, pricing, coverage area, and accessibility information relevant to the experience. Raahi may edit, suspend, demote, or remove any listing that is unsafe, misleading, or non-compliant with this Agreement, the Expert Code of Conduct, or applicable law, without entitling you to any particular placement, ranking, or featured status. You authorize Raahi to display your profile photo, biography, languages, service regions, qualifications, pricing and ratings on the Platform.

10. Availability, Scheduling, and Pricing.

You are solely responsible for setting and maintaining your availability, coverage area, and pricing within the Platform, subject to any applicable minimum standards Raahi may establish for a given service category. You may update your availability at any time. You must maintain your calendars, blocked dates and operating regions accurately. Raahi does not guarantee any minimum level of booking volume or income.

11. Acceptance and Rejection of Bookings.

You may accept or decline a Booking request at your discretion, except that repeated or pattern-based rejection of Bookings without reasonable cause may be treated as a performance issue under Performance Standards or a listing-standards issue under Listing Standards. Once accepted, a Booking is binding on you subject to the substitution provisions of Substitution of Personnel or Equipment and the cancellation provisions of the Booking, Cancellation, Refund & Payment Policy. You may not accept a Booking you do not reasonably intend or expect to be able to fulfill.

12. Performance Standards.

You must perform each accepted Booking in the manner described in your listing, arrive at the agreed time and location, and communicate promptly and professionally with the Buyer. Repeated no-shows, late arrivals, inaccurate listings, or guest complaints substantiated through Raahi's review process may result in reduced visibility, suspension, or termination under the Suspension and Termination section. Experts acknowledge that communications conducted through the Platform, including in-app messages and shared content, may be retained by Raahi for customer support, fraud prevention, dispute resolution, quality assurance, and compliance purposes, in accordance with the Privacy Policy.

13. Substitution of Personnel or Equipment.

You may substitute comparable personnel or equipment for a confirmed Booking only with reasonable advance notice to Raahi and the Buyer. A Buyer may cancel without penalty if a material substitution occurs after Booking confirmation, consistent with the Terms and the Booking, Cancellation, Refund & Payment Policy. Any substitute personnel must independently satisfy the onboarding and category-specific requirements applicable to the service provided. A substitution made in compliance with this Section is not the unauthorized subcontracting prohibited by the Expert Code of Conduct; any other delegation of your service to another person without the notice required by this Section is prohibited.

14. Fees and Payment Terms.

Raahi charges a service fee on each completed Booking, deducted from the gross Booking amount before payout, at the rate set out in the fee schedule made available to you through the Platform. Raahi may update the fee schedule from time to time, with notice provided consistent with the Notices and Changes to This Agreement section; the updated fee schedule applies to Bookings accepted after the effective date of the change. All amounts are processed in U.S. dollars unless otherwise stated in the Platform.

15. Expert Commission.

The commission payable to the Expert for services provided through the Platform shall be determined by Raahi from time to time in its sole discretion and communicated to the Expert through the Platform, onboarding materials, payout schedule, fee schedule, email, or any other written communication. By accepting a Booking, the Expert acknowledges and agrees to the commission applicable to such Booking. Raahi may revise the applicable commission prospectively, and any revised commission shall apply only to Bookings accepted after the effective date of such revision.

16. Payouts.

Raahi will remit payouts to your linked bank account or supported mobile wallet on the schedule made available through the Platform, which may include an optional instant payout feature where available, subject to any applicable fee for that feature. Raahi may delay payouts, place reserves on your account, withhold funds, reverse payouts, or apply any amount you owe Raahi, including circumvention fees under the Marketplace Integrity and Anti-Circumvention provisions, chargeback-processing fees, and fraud-related losses allocated to you under Fraud Prevention and Loss Allocation, as a setoff against current or future payouts. You may request a written accounting of any deduction from a payout. Raahi provides downloadable statements and tax-related exports through the Platform to assist with your own recordkeeping.

17. Taxes.

You are solely responsible for determining and satisfying your own income, sales, use, and payroll tax obligations arising from your activity on the Platform, including any obligation to register as a business in your jurisdiction. Raahi may collect and remit certain sales, use, occupancy, or tourism-related taxes on your behalf where required by applicable marketplace facilitator statutes, consistent with the Terms; this does not relieve you of any tax obligation not covered by Raahi's collection. Raahi may issue applicable tax reporting documents based on your earnings through the Platform and request tax identification information from you for this purpose.

18. Expenses.

Except as otherwise expressly agreed in writing, you are solely responsible for all costs and expenses of providing your services, including vehicle, equipment, and animal costs; fuel; permits and licenses; insurance premiums; and your own travel and subsistence costs. Raahi does not reimburse Expert expenses unless separately agreed in writing for a specific engagement.

19. Confidentiality.

You must keep confidential any non-public information you receive from Raahi in connection with this Agreement, including pricing algorithms, fee structures, business plans, and Buyer personal information, and may use such information only as necessary to perform your services through the Platform. This obligation continues after termination of this Agreement with respect to information that remains confidential. This Section does not restrict disclosure required by law, provided you give Raahi reasonable notice where legally permitted.

20. Personal Data and Privacy.

You will receive limited Buyer contact and booking information through the Platform as necessary to perform a confirmed Booking. You may use this information solely to perform that Booking and may not retain, use, or disclose it for any other purpose, including marketing, after the Booking is complete. You may not ask a Buyer to share, and may not independently seek, a Buyer's personal phone number, email address, or other direct contact information outside the Platform's in-app communication tools, consistent with the Terms and the Safety & Travel Guidelines. You must handle any personal data you receive in connection with the Platform in accordance with Raahi's Privacy Policy and applicable data protection law, and must promptly notify Raahi of any actual or suspected unauthorized access to or disclosure of Buyer personal data.

21. Marketplace Integrity; Anti-Circumvention.

You may not circumvent the Platform to avoid fees. Circumvention includes soliciting, arranging, or completing a booking or payment outside the Platform for any relationship with a Buyer that originated on the Platform, whether attempted during an active Booking or at any time within twenty-four (24) months following your first introduction to that Buyer through the Platform, and includes inviting a Platform-sourced Buyer to book a future experience directly by any means, including business cards, personal payment links, or verbal requests made during an active experience. This restriction does not apply where a Buyer independently and without your solicitation seeks you out through a channel wholly unconnected to the Platform relationship. Where Raahi reasonably determines that circumvention has occurred, Raahi may invoice and collect the service fee that would have applied to the circumvented transaction as a reasonable estimate of Raahi's actual loss, and may recover that amount by setoff under the Payouts section, in addition to any suspension or termination remedy available under the Suspension and Termination section.

22. Fraud Prevention and Loss Allocation.

Raahi may investigate suspected payment fraud, fake bookings, identity fraud, collusive or manipulated reviews, and messaging-channel abuse conducted through the Platform, and may freeze funds, suspend your account, request additional documentation, and share fraud-related information with payment processors, other platforms, or law enforcement as permitted by law. As between you and Raahi, losses arising from a fraudulent transaction are allocated as follows: Raahi bears losses arising from fraud that Raahi's own verification and fraud-screening systems failed to detect through no fault of yours; you bear losses arising from your own listing misrepresentations, collusive conduct, or failure to cooperate with a fraud investigation. Raahi may recover Expert-attributable losses through the setoff mechanism in the Payouts section.

23. Compliance with Applicable Laws.

You must comply with all applicable laws in connection with your provision of services through the Platform, including licensing, permitting, safety, transportation, tourism, wildlife protection, and consumer protection laws applicable in each jurisdiction where you operate. Where your services take place within a national park, wildlife reserve, tribal land, or other protected area requiring a concession agreement, commercial use authorization, or similar access permit, you are solely responsible for holding and maintaining that authorization; Raahi does not hold, apply for, or guarantee any such authorization on your behalf.

24. Anti-Bribery and Sanctions Compliance.

You represent and warrant that you will not offer, promise, give, or receive any improper payment or benefit in connection with your services, including to any government official, park authority, or licensing body, in violation of applicable anti-corruption law. You further represent and warrant that you are not located in, organized under the laws of, or a national or resident of, any country or region subject to comprehensive U.S. economic sanctions, and that you are not identified on the U.S. Department of the Treasury's Office of Foreign Assets Control Specially Designated Nationals and Blocked Persons List or any other applicable government restricted-party list. A violation of this Section results in immediate termination of this Agreement and forfeiture of any pending payout, in addition to any other remedy available to Raahi or required by law.

25. Insurance.

You must maintain insurance appropriate to your service category for the full term of this Agreement, at minimum coverage levels of: (a) commercial general liability insurance of not less than $500,000 per occurrence for tour guide, cultural, sightseeing, and comparable non-transportation, non-adventure categories; (b) commercial automobile liability insurance of not less than $1,000,000 combined single limit, including passenger liability coverage, for vehicle owner, driver, and chauffeur categories; and (c) commercial general liability insurance of not less than $1,000,000 per occurrence for wildlife safari, adventure, and other higher-risk outdoor activity categories. You must provide proof of coverage upon onboarding and upon Raahi's request thereafter, and must notify Raahi within five (5) business days of any lapse, cancellation, non-renewal, or material reduction in required coverage. Failure to maintain or disclose current coverage results in automatic suspension of your listings until updated proof of coverage is provided. Raahi's right to request proof of insurance does not constitute, and must not be relied upon as, a determination or guarantee that your coverage is adequate, valid, or currently in force, and Raahi carries no insurance covering your liability to any Buyer.

26. Intellectual Property; Ownership of Work Product

26.1. Your Content.

You retain ownership of the photographs, descriptions, and other content you submit to create or maintain your listings. You grant Raahi a worldwide, non-exclusive, royalty-free license to host, reproduce, display, distribute, and use such content to operate, improve, and promote the Platform, including in advertising and marketing across any media or channel, investor and business-development materials, and press communications, consistent with the Terms. You represent that you have obtained consent from any identifiable third party depicted in content you submit before submitting it.

26.2. Raahi's Content and Materials.

The Platform, the Expert Code of Conduct, any training materials, templates, or marketing materials Raahi provides to you, and Raahi's name, logo, and trademarks, are owned by Raahi or its licensors. You may use them only as necessary to provide your services through the Platform and may not use Raahi's name, logo, or trademarks in your own independent marketing without Raahi's prior written consent.

26.3. Work Product.

Any materials you create specifically at Raahi's request and for Raahi's use, as distinct from your own listing content, are Raahi's property upon creation, and you assign to Raahi all right, title, and interest in such materials, including a waiver, to the extent permitted by applicable law, of any moral rights you may hold in them.

27. AI Usage and Disclosures.

If you use artificial intelligence tools to generate or edit listing photographs, descriptions, or other content, you remain solely responsible for the accuracy of that content under Listing Standards, and any AI-generated or AI-edited content must not misrepresent the experience offered. Raahi may use artificial intelligence and automated systems to review onboarding documents, screen listings, detect fraud, and flag accounts for suspension, consistent with the Terms; a suspension based primarily on such a flag is subject to human review upon your request through the process in the Suspension and Termination section.

28. Reviews.

Buyer reviews of your services must reflect a genuine completed Booking. You may not incentivize or manipulate reviews, and you may not retaliate against a Buyer for a review. You may reply to reviews through the Platform. Raahi may remove a review that violates the Terms.

29. No Non-Compete; Non-Solicitation.

Nothing in this Agreement restricts your ability to offer services independently or through other platforms; you remain free to operate your business as you see fit outside the scope of the anti-circumvention restriction in the Marketplace Integrity and Anti-Circumvention provisions. You may not, however, solicit another Expert or any Raahi employee or contractor to leave the Platform or Raahi's employment for a competing service during your engagement with the Platform and for twelve (12) months after termination of this Agreement.

30. Warranties.

You represent and warrant that you have the skill, experience, and where applicable licensure to safely and competently provide the services you list; that your equipment, vehicles, and animals are maintained in safe working condition; and that your services will be provided in compliance with this Agreement, the Expert Code of Conduct, and applicable law, including that you will not conduct an experience while under the influence of alcohol or drugs. If you reasonably stop or cut short an experience because continuing would create an unreasonable risk to participant safety, consistent with the Expert Code of Conduct, that action is not treated as a failure to perform the Booking under this Agreement.

31. Suspension and Termination.

Raahi may suspend, restrict, or terminate this Agreement and your account if Raahi reasonably believes this Agreement has been violated, fraud has occurred, guest safety is threatened, Platform integrity is compromised, legal compliance requires action or your public conduct, including on social media, materially misrepresents Raahi or your relationship to Raahi, consistent with the Expert Code of Conduct. Where feasible, Raahi will provide notice of the basis for suspension before or promptly after taking action; immediate action without prior notice is reserved for circumstances involving an imminent safety risk or active fraud. Payouts pending an active investigation may be held in reserve until the investigation concludes, and will be released promptly once it is resolved in your favor. You may terminate this Agreement at any time by ceasing to accept Bookings and closing your account through the Platform, subject to completion of any Bookings already accepted.

32. Effect of Termination; Survival.

Upon termination of this Agreement, your authorization to list or provide experiences through the Platform ends, and you must cease using Raahi's name, logo, trademarks, and any Raahi-provided materials. The following provisions survive termination to the extent necessary to give effect to their terms: Payouts, including the setoff mechanism, Taxes, Confidentiality, Personal Data and Privacy, Anti-Circumvention (for the period stated in that Section), Fraud Prevention and Loss Allocation, Anti-Bribery and Sanctions Compliance (as to conduct occurring before termination), Insurance (as to services performed before termination), Intellectual Property, Non-Solicitation (for the period stated in that Section), Dispute Resolution and Arbitration, Class Action Waiver, Indemnification, Limitation of Liability, Disclaimer of Warranties, along with the Governing Law, Jurisdiction, Entire Agreement, Severability, Waiver, and Miscellaneous sections.

33. Dispute Resolution and Arbitration.

Before initiating arbitration, you and Raahi agree to attempt good-faith resolution of any dispute through Raahi's internal complaint-escalation process, which begins with front-line support and, for unresolved or serious matters, escalates to a dedicated review function within a stated response timeframe. Disputes not resolved informally within a reasonable period will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, including any applicable mass-arbitration procedures where multiple substantially similar claims are filed. Either party may instead bring an eligible claim in small claims court. If any provision of this arbitration agreement is found unenforceable, including the manner in which claims may be batched or consolidated, the remainder of this arbitration agreement remains in full force and effect.

34. Class Action Waiver.

YOU AND RAAHI AGREE ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR CLASS ARBITRATION.

You may opt out of this arbitration agreement by written notice within thirty (30) days of the date you first accept this Agreement.

35. Notices and Changes to This Agreement.

Raahi may update this Agreement from time to time. Material changes will be communicated by email, in-app notice, or website notice, and will take effect for Bookings accepted after the effective date of the change. Notices to you may be sent to the email address or in-app contact associated with your account; notices to Raahi should be directed to the addresses in the Notices and Contact Information section. Continued participation as an Expert after a change takes effect constitutes acceptance of the revised Agreement.

36. Assignment.

Raahi may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign this Agreement or delegate your obligations without Raahi's prior written consent.

37. Force Majeure.

Raahi is not liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, government action, or public health emergencies.

38. Indemnification.

You agree to defend, indemnify, and hold harmless Raahi, Raahi Ventures, Inc., and their respective affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from your provision of services, your violation of this Agreement or applicable law, or your infringement of any third party's rights.

39. Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAAHI SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. RAAHI'S TOTAL LIABILITY TO YOU ARISING FROM OR RELATED TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE SERVICE FEES YOU PAID RAAHI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

40. Disclaimer of Warranties.

THE PLATFORM IS PROVIDED "AS IS." RAAHI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT GUARANTEE ANY MINIMUM LEVEL OF BOOKINGS OR INCOME.

41. Notices; Contact Information.

Raahi is operated by Raahi Ventures, Inc., doing business as Raahi. Questions, notices, and requests regarding this Agreement may be directed as follows:

42. Governing Law; Jurisdiction.

This Agreement is governed by the laws of the Delaware, without regard to conflict-of-laws principles. Subject to Dispute Resolution and Arbitration, any action not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

43. Electronic Execution.

You consent to execute this Agreement and to conduct related transactions electronically, and to receive disclosures under this Agreement electronically, consistent with the federal E-SIGN Act. Your acceptance through the Platform, including by clicking to accept or by completing onboarding, constitutes your electronic signature and has the same legal effect as a handwritten signature. You may withdraw this consent and request paper records by contacting support@raahi.io, which may result in suspension of your ability to provide services through the Platform until an alternative execution method is arranged.

44. Entire Agreement; Severability; Waiver; Miscellaneous.

This Agreement, together with the Terms, the Expert Code of Conduct, and the Safety & Travel Guidelines, each incorporated by reference, constitutes the entire agreement between you and Raahi regarding your participation as an Expert. If any provision of this Agreement is found invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No waiver of any provision is effective unless in writing. Nothing in this Agreement creates a partnership, joint venture, or agency relationship between you and Raahi.
